1. **INTRODUCTION**

These Terms and Conditions govern the "Chupa Chups AI World of Lollipops Competition" (hereinafter referred to as "The Competition") organised by Chupa Chups (hereinafter referred to as "The Organiser") in UAE, KSA, Kuwait, Qatar, Bahrain & Oman to create AI generated images based on text prompt.

2. **ELIGIBILITY**

The Competition is open to all parents and children residing in the GCC countries (the Participant(s)). Children under the age of 18 must have the consent of a parent or legal guardian to participate.

Employees, contractors, directors and officers of The Organiser and/or Wavemaker Mena FZ-LLC, the agency managing the Competition, and their respective parents, subsidiaries and affiliated companies, distributors, licensees and the advertising, fulfilment, judging and promotion agencies involved in the development and administration of the Competition (collectively, "Competition Parties"), and their immediate family members are not eligible to enter the Competition.

3. **ENTRY PERIOD**

The Competition will commence on September 1st 2023 and close on October 27th 2023. Entries submitted after October 27th will not be eligible for entry.

4. **HOW TO ENTER**

Participants need to log onto www.worldofchupafun.spacetoon.com to enter the competition. Only entries from this page will be considered into the competition.

5. **SELECTION OF WINNERS**

Participant needs to share the AI image on social & use the #WorldOfChupaFun for the Organizer to track the entries. Entries with the right hashtag on platforms such as Facebook, Instagram & Twitter only will be qualified. Winning entries will be shortlisted based on a combination of creativity of the image generated & engagement on the post.

The method of selecting winners is at the sole discretion of The Organiser. The Organiser's decision is final and binding, and no correspondence will be entertained.

6. ** SHORTLISTING CONDITIONS**

1- All AI Materials must be received by the deadline of the Competition Period.

2- All AI Materials must not:

(a) be unlawful or promote any unlawful activity;

(b) be considered inappropriate, defamatory, abusive, discriminatory, offensive, obscene, threatening, misleading or hateful;

(c) include any content or symbols of a religious or political nature;

(d) be intended to harass another person or group of people;

(e) include personal information of another person or persons, unless the Participant has such person(s) written consent and submit it with it;

(f) contain viruses or corrupted files;

(g) be a copy of an image or video previously uploaded or published on any platform (and whether in hard-copy or soft-copy);

(h) contain advertising or promotional materials.

Incomplete or indecipherable AI Materials will be deemed invalid.

Any non-compliance with these Terms and Conditions shall render any AI Materials null and void and the Participants shall have no rights to claim any damage or compensation whatsoever.

7. **PRIZES**

1 Grand Prize Winner – Winning participant & 3 other family members (Participant below 18 will need both their parents or either one to travel with them) will win an all expenses paid trip to Disney Land Paris. This includes ticket, visa, hotel accommodation & breakfast & theme park experience. Anything beyond this will be borne by the participant.

2 Weekly winners (In total 8 x winners) – Winning participants will win a house party (Birthday or Pinata party) organized by Chupa Chups where candies will be provided, a cake and mascots for celebration from Spacetoon Channel.

Prizes cannot be passed on to another person, if not used or not contactable within 1 week from announcement then the organizer has the right to choose another winner or confirm that the organizer has completed their side of due diligence.

8. **COPYRIGHT & INTELLECTUAL PROPERTY**

(a) By participating in the Competition, participants grant the Competition Parties an exclusive, royalty-free, perpetual, worldwide, irrevocable and sublicensable right to use, reproduce, modify, adapt, publish and display such entries for any purpose in any media, without compensation, restriction on use, attribution or liability. Participants agree not to assert any moral rights in relation to such use and warrant that they have the full authority to grant these rights. Each Participant shall agree that, upon submission, all AI Materials become the exclusive property of the Competition Parties and shall not be acknowledged or returned to the Participant. After the submission of the AI Materials, Participants shall cease to reproduce, modify, adapt, publish, license, post, sell, translate, incorporate, create derivative works from, exploit, issue or communicate to the public and otherwise use (together “Reproduce”) the AI Materials for any purpose, unless given written consent to do so by the Competition Parties

(b) Each Participant shall agree that the Competition Parties may Reproduce (as defined above) each entry as it so wishes, at any time, with or without the consent of the Participant.

(c) Each Participant shall agree that any entry shall not be offensive, obscene, derogatory or defamatory in nature, and will be sensitive and respectful, and will adhere to the guidelines set in place for the Competition.

(d) Each Participant shall agree that upon the AI Materials being submitted, the following shall vest entirely and without exception with the Competition Parties:

i. any copyright, patents, database rights and rights in trademarks, designs, drawings, know-how (whether registered or unregistered) including rights over any accompanying words, slogans or catch phrases (“Intellectual Property Rights”) arising herein from and related to the AI Materials;

ii. applications for registration, and the right to apply for such registration, for any of the Intellectual Property Rights arising herein from and related to the AI Materials; and

iii. any other right inherently connected with the Intellectual Property Rights of or inherent to the AI Materials.

(e) By submitting the AI Materials, the Participant shall warrant and represent that such AI Materials to the best to their knowledge is an original work created by him/her and does not violate or infringe upon the rights of any third parties, including, without limitation, any Intellectual Property Rights. The Participant shall agree that he/ she will be liable to the Competition Parties and indemnify it for breach of any warranty. (This means that the Participant will be responsible to the Competition Parties for any loss or damage suffered as a result of his/ her beach of a warranty).

(f) The Participant shall do whatever is requested by the Competition Parties acting reasonably, to effect the transfer of any Intellectual Property Rights to the Organiser, including entering into a binding agreement with the Organiser for the assignment of Intellectual Property Rights in the AI Materials.

(g) The Participant acknowledges that the Competition Parties will receive many AI Materials, some of which may be similar to or identical to other AI Materials. Each Participant acknowledges that it will not be entitled to any prize or compensation as a result of the Competition Parties’ use of any such similar or identical to its AI Materials.

(h) The Participant shall irrevocably assign to the Competition Parties absolutely with full title guarantee all Intellectual Property Rights and/or any copyrights in and related to the entry, including but not limited to the right to use, reproduce, distribute, change, edit, alter, caveat, publish, exhibit or otherwise exploit, for any and all commercial and/or non-commercial use, the AI Materials (or parts of the AI Materials) and the right to sublicense any or all of those rights to a third party (“Legal Assignment”). No additional fees or compensation shall be paid by the Competition Parties or any other party to the Participant in relation to the Legal Assignment.

(i) The Competition Parties shall have no responsibility of any nature for late, lost, stolen, incomplete, misdirected, delayed, garbled, damaged, inaccurate, or undelivered AI Materials; or for telephonic, human or computer failures, problems or errors, defects or delays in any transmission, interruptions in service due to system upgrades, repairs, modifications, maintenance or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Competition, including, without limitation, errors which may occur in connection with the administration of the Competition, the processing of AI Materials or emails, the announcement of the prizes, for any injury or damage to participant’s or any other person’s computer or other device relating to or resulting from participation in this Competition, or for printing, typographical, human or other errors appearing in terms and conditions or other Competition related materials.

(j) The Organiser reserves the right to void any AI Materials and disqualify such Participant whom the Organiser believes (in its sole discretion) have attempted to tamper with or impair the administration, security, fairness or proper play of this Competition and/or who are in violation of these terms and conditions.

 9. **DATA PROTECTION & PRIVACY**

The Organiser is committed to protecting the privacy of Participants. All information collected for the Competition is subject to The Organiser's Privacy Policy. By participating in the Competition, participants consent to the collection, use and disclosure of their personal information for the purposes of administering the Competition and prize fulfillment. VII- General

10. **GENERAL**

i. Under no circumstances is the transfer, assignment, cash redemption, or substitution of a prize (or any portion thereof) permitted, except by the Organiser who reserves the right to substitute, at any time, for any reason, a prize (or applicable portion thereof) with one of comparable or greater value, at its sole discretion.

ii. A designated winner shall execute and return an “Affidavit of Eligibility, Liability and Publicity Release” as well as any other documents required by the Organiser as soon as possible and in any event within forty-eight (48) hours of date of notification.

iii. By submitting AI Materials, Participants agree to be bound by these Terms and Conditions and agree that:

a- The Competition Parties may use (to the fullest extent permitted by applicable law) Participant’s name, city and state of residence, photograph, any oral or written statements, footage, and/or likeness for advertising, trade and/or any other purposes in any media and/or social media and/or on TV now or hereafter known throughout the world in perpetuity, without further compensation, permission or notification;

b- any Participant in the Competition authorizes all verifications required by the Competition Parties concerning the Participant’s identity;

c- any indication of falsified, fraudulent, false, untruthful, incorrect or inexact identity or address of any Participant, may, in the Competition Parties’ sole discretion, lead to that Participant being disqualified from the Competition; and

d- the Competition Parties shall, except where caused by gross negligence, have no liability and shall be held harmless by the Participant for any claims, demands, obligations, liability, suits, actions, proceedings, judgments, fines, losses, damages, penalties, charges, costs and expenses (including, without limitation, attorney’s fees) in relation to the Participant or any other person or entity, including, without limitation, personal injury or death of the Participant or any other person or damage to personal or real property, arising from or related to this Competition or due in whole or in part, directly or indirectly, to (i) the acceptance, possession or use of the prize, (ii) any physical activity, travel or travel-related activity in relation to the Competition or participation in this Competition.

11. **DISQUALIFICATION**

The Organiser reserves the right, at its sole discretion, to disqualify any participant who is found to be tampering with the entry process or the operation of the Competition, or to be acting in violation of these Terms and Conditions. This includes but is not limited to the use of illegal techniques to win, the use of obscene language, or any behaviour that does not respect the cultural sensitivity of the region.

12. **DISCLAIMER**

The Organiser, its respective agents, employees, agencies, affiliates, parent and subsidiary companies are not responsible for any liability, loss, injury or damage incurred as a result of participation in the Competition or acceptance and/or use of any prize.

13. **GOVERNING LAW**

These Terms and Conditions are governed by the laws of the UAE. Participants agree to abide by the laws of these countries and agree that any dispute shall be resolved in the courts of the UAE.

14. **AMENDMENTS**

The Organiser reserves the right to in its sole discretion, to modify, suspend, and/or terminate this Competition and the Terms and Conditions (or portion thereof) without any notice to the Participany, at any time and for any reason whatsoever especially if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Competition or for any other reason.

15. **ACCEPTANCE OF TERMS & CONDITIONS**

Participation in the Competition constitutes acceptance of these Terms and Conditions. By entering the Competition, participants agree to abide by these Terms and Conditions

16. **SUBMISSION OF AI IMAGES**

Participants guarantee that they hold all necessary rights for the submission of AI images. Submissions should not infringe upon any copyright, trademark, or any other intellectual property right of any third party. The Organiser and its affiliates will not be responsible for any claim resulting from the infringement of intellectual property rights or copyrights relating to the AI images.

17. **JURISDICTION LIMITATION**

Participants agree that the Competition is void where prohibited by law. The Organiser is not responsible for any legal implications that may arise from the participant's country of residence or any other jurisdiction.

18. **FORCE MAJEURE**

The Organiser is not responsible for any delay or failure to comply with its obligations under these Terms and Conditions if the delay or failure arises from any cause beyond its reasonable control, including but not limited to acts of God, civil disturbances, riots, floods, and wars.

19. **NON-WAIVER**

Failure by the Organiser to enforce any of its rights at any stage does not constitute a waiver of those rights.

20. **COMMUNICATION**

Any query regarding the Competition or these Terms and Conditions should be directed to The Organiser via the contact information provided in the Competition announcement or The Organiser's official website.

21. **DELIBERATE DAMAGE**

(a) Any attempt to deliberately damage or undermine the legitimate operation of this Competition may constitute (where applicable) a violation of criminal and civil laws and should such an attempt be made, the Competition Parties reserve the right to seek damages (including attorneys’ fees) and/or other remedies from any such person(s) responsible for the attempt to the fullest extent permitted by law and shall be reported to the relevant courts in the emirate of Dubai or in the United Arab Emirates according to the applicable laws of Dubai or the United Arab Emirates.

(b) Failure by the Competition Parties to enforce any of its rights under these Terms and Conditions, at any stage, does not constitute a waiver of those rights. 22.

**ENTIRE AGREEMENT**

These Terms and Conditions constitute the entire agreement between the participants and the Organiser in relation to the Competition, and they supersede any prior arrangements or negotiations, whether written or oral.

By participating in the Competition, Participants acknowledge and represent that they have read, understand, and agree to be bound by these Terms and Conditions.
